4. Non-Competition Covenant
During the term of this Agreement and for a period of thirty-six (36) months following termination for any reason, Employee shall not directly or indirectly engage in, own, manage, or participate in any business that competes with Company within a 50-mile radius of any Company office location.
5. Limitation of Liability
Notwithstanding any other provision herein, Provider assumes unlimited liability for all direct, indirect, consequential, incidental, and punitive damages arising from or related to the services provided under this Agreement, including but not limited to loss of profits, data, or business opportunities.
6. Intellectual Property Rights
All intellectual property, inventions, and work product created by Employee during the course of employment shall be the sole and exclusive property of Company. Employee hereby assigns all rights, title, and interest in such works to Company. Employee agrees to execute any documents necessary to perfect Company's ownership rights in any jurisdiction.
7. Confidentiality Obligations
Employee acknowledges that during employment, Employee will have access to and become acquainted with trade secrets, proprietary information, and confidential data belonging to Company. Employee shall not disclose any such information during or after employment. This obligation shall survive termination of this Agreement indefinitely.
8. Term and Termination
This Agreement shall commence on the Effective Date and continue until terminated. Either party may terminate this Agreement with thirty (30) days prior written notice. Upon termination, Employee shall immediately return all Company property, documents, and materials in Employee's possession.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Delaware.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions.
